1. Core Intellectual Property Principles
In modern software engineering, website development, and digital marketing, a finished product incorporates multiple layers of intellectual property: custom business logic, pre-existing architectural boilerplates, licensed stock assets, and permissive open-source libraries.
Clytrio (“we,” “us,” establishing as Clytrio Private Limited, Thrissur, Kerala) believes in absolute transparency regarding who owns what. This policy sets out our standard principles for intellectual property allocation, ensuring our clients gain unencumbered commercial ownership of their custom deliverables while preserving Clytrio's right to reuse generalized engineering knowledge and background tooling.
2. Client-Specific Deliverables & Full Assignment Upon Payment
Ownership Transfer Upon Full Payment: Subject to full and final settlement of all invoices due under the relevant Statement of Work (SOW), Clytrio assigns and transfers to the client all right, title, and interest in and to the custom deliverables created specifically for the client.
Custom deliverables typically include:
- Bespoke front-end designs, wireframes, and UI mockups (e.g., Figma files created specifically for the client's brand);
- Custom website and web application source code engineered specifically for the client;
- Original advertising graphics, video edits, and copywriting created specifically for the client's campaigns;
- Domain names, hosting accounts, and ad accounts registered in the client's name.
Prior to full payment, all interim drafts, staging deployments, and unreleased source code remain the exclusive property of Clytrio.
3. Clytrio Pre-Existing Tools & Background IP
Like all premier engineering firms, Clytrio maintains a repository of proprietary development accelerators, reusable utility scripts, boilerplates, UI component libraries, and workflow automations (“Background IP”) developed independently of any specific client engagement.
- Clytrio retains full and exclusive ownership of its Background IP, internal developer tools, proprietary algorithms, and general know-how.
- To the extent any Background IP is embedded within a client deliverable, Clytrio grants the client a perpetual, worldwide, non-exclusive, royalty-free license to use, execute, modify, and display that Background IP solely as integrated within the delivered project.
- The client may not isolate, extract, redistribute, or resell Clytrio's Background IP as a standalone software product or boilerplate.
4. Open-Source Software & Third-Party Libraries
Modern web development leverages high-performance open-source frameworks (such as Next.js, React, Tailwind CSS, TypeScript, and Node.js packages).
Open-source software embedded in client deliverables is licensed pursuant to its respective upstream open-source licenses (typically MIT, Apache 2.0, or BSD). Neither Clytrio nor the client can claim exclusive proprietary ownership over upstream open-source packages. Clytrio ensures that all open-source libraries incorporated into commercial client applications comply with enterprise-friendly, permissive licensing.
5. Stock Assets, Commercial Fonts & Licences
Third-party stock photography, video footage, commercial typefaces, and premium software plugins (e.g., commercial WordPress plugins or icon sets) are governed by their vendor licenses.
- Where commercial licenses require ongoing subscription fees or single-domain registration, Clytrio assists the client in acquiring the appropriate license directly in the client's legal name.
- Clytrio does not warrant that third-party stock assets can be trademarked or registered as exclusive corporate brand marks.
6. Client Brand Assets & Confidential Data
All pre-existing trademarks, trade secrets, logos, proprietary customer databases, customer contact lists, and internal marketing data provided by the client to Clytrio remain the sole and exclusive property of the client.
Clytrio uses client materials strictly for the purpose of executing the agreed deliverables and maintains strict confidentiality as detailed in our Data Processing & Confidentiality Principles.
7. Case Studies & Portfolio Display Rights
Unless an explicit Non-Disclosure Agreement (NDA) or contract clause provides otherwise, Clytrio reserves the customary professional right to showcase delivered work in our corporate portfolio, design showcases, and case studies:
- Displaying public-facing website screenshots, UI animations, and non-confidential campaign creatives;
- Referencing general, non-confidential performance improvements (e.g., “Improved organic search traffic by 180% in 6 months”);
- Listing the client's company name and logo among our past client roster.
We will never disclose proprietary trade secrets, unreleased patentable logic, financial statements, or confidential customer metrics. Clients with strict white-label or non-disclosure requirements may request a formal NDA prior to engagement.
8. Primacy of Signed Agreements
This policy outlines Clytrio's standard intellectual property architecture. In all instances, the specific IP assignment terms, indemnities, and licensing grants executed in a bilateral Master Services Agreement (MSA) or Statement of Work (SOW) supersede these general guidelines.
